Good morning. Aliko Dangote opens Africa’s biggest ever share sale in Lagos this morning, and he wants ten million of us to take a piece of a refinery. Coca-Cola’s African bottling business, run out of Johannesburg for ten years, has been cleared to move to a Swiss owner. And Sanlam is about to start banking without building a bank, using one Patrice Motsepe already owns.

## Africa’s biggest ever share sale opens this morning, and ten shares in Dangote’s refinery cost about R63

About R63 buys ten shares in Africa’s largest refinery, and from this morning anyone can have them. Dangote Petroleum Refinery is selling 4.1 billion shares in Lagos, in the biggest share sale the continent has ever run, and the money is for making the plant twice as big. It cost about $20 billion to build and already runs at 700,000 barrels a day, more than it was designed for. Dangote wants double that by 2028\. Institutions were here first. They went in back in July, and they paid considerably less than you will this morning.

**What the extra money buys:**

- At the offer price the refinery is worth $49 billion. HF Sinclair, an American refiner of almost exactly the same size, is worth about $16 billion.
- Part of what you are buying is the refinery Dangote intends to build, not the one running today.
- The offer closes on 13 October, and the shares should start trading in November.

South Africa wants a piece of this too. The JSE has been courting the listing openly, and Kenya, Egypt, Ghana and Rwanda have had the same conversations. But strong intent is not a signed deal. A cross-listing is not planned either, so a South African who wants in would be buying a receipt that tracks the Lagos share, not the share itself.

## Coca-Cola’s African bottling has been run from Johannesburg for ten years, and that moves to Switzerland

Every Coke sold in South Africa comes through a bottler, and for ten years the bottler for the whole continent has been run out of Johannesburg. On Friday the Competition Tribunal approved its sale to Coca-Cola HBC, a Swiss bottler, and attached conditions meant to protect the public interest. It has not published them. The business changing hands reaches more than 800,000 shops and stalls across fourteen countries, and HBC is paying about $2.6 billion for three quarters of it. Once this closes, one company will bottle two thirds of the Coca-Cola sold in Africa.

The people those conditions cover turned up to the hearing. The union representing the bottler’s workers made submissions, and so did a group of former owner-drivers, people who once ran their own trucks on Coke’s routes. They had reason to. In September 2025 the South African arm told unions it might cut up to 680 posts and weighed closing its plants in Bloemfontein and East London. Six months later the Coca-Cola system here announced R17.6 billion of spending through 2030.

The Competition Commission says the parties agreed to freeze retrenchments. How long that freeze runs is in the document the Tribunal has kept back.

**Sanlam is getting into banking without building a bank.** GoTyme will run the accounts, Sanlam will bring the customers, and last week the regulators signed off on that arrangement, which was the part that needed signing off. Old Mutual built its own bank and Discovery has been at it since 2019\. Sanlam has skipped that part entirely. GoTyme is majority-owned by Patrice Motsepe’s African Rainbow Capital, which is also a shareholder in Sanlam, so the partner was already on the register. **A new Chinese car now costs roughly what a three-year-old second-hand one does, which is a problem for whoever financed the second-hand one.** That is WesBank. It has set money aside against what repossessed cars will fetch, and its bad-debt charge rose 28%. Six of every ten vehicles it finances are now Chinese brands, so it is provisioning against the same cars it lends on. Cars.co.za ran the numbers and found the Chery Tiggo 4 Pro and the Haval Jolion holding value better than several rivals. **Mr Price got through its annual general meeting in four minutes.** In that time a third of its shareholders voted against the way it pays its executives, the first time the vote has been binding rather than a suggestion the board could note and move on. The company had spent the weeks beforehand talking to holders of more than two thirds of its shares. **Dario Amodei wants the whole industry to build AI more slowly, and he is starting by inviting strangers in to check that his own company does.** Anthropic says it will give an outside review team desks in its offices, access badges, company laptops and the right to publish what they find, including the access they were refused. He took the idea from banking, where a regulator will sometimes sit its own supervisor at a desk inside the bank it is watching. Sam Altman says OpenAI will do the same.
